Terms of Service
These terms are the agreement between you and Bek Service Ltd, a company registered in England and Wales (“we”, “us”), for the use of Skurail Cloud: the hosted service that connects your WooCommerce store to eBay (and to Amazon once that connection opens). Please read them before you connect a store or choose a plan. By creating an account or connecting a store you agree to them.
In short: you pay monthly, yearly or per order depending on your plan; you can cancel at any time; you stay responsible for what you sell and for following eBay’s and Amazon’s rules; and if something goes wrong our liability is limited to what you paid us in the last twelve months. The full terms below are what count.
1. What these terms cover
Skurail has two parts. The Skurail for WooCommerce plugin is free software, licensed under the GNU General Public License version 2 or later; that licence, not these terms, governs your copy of the plugin. Skurail Cloud is the subscription service the plugin connects to, which lists your products on the marketplaces, keeps stock and prices in step and brings marketplace orders into WooCommerce. These terms govern Skurail Cloud.
Marketplaces available today. Skurail Cloud currently connects to eBay. The Amazon connection is coming soon and is not yet available; where these terms mention Amazon, they apply from the day we open that connection to you.
2. Who can use Skurail Cloud
Skurail Cloud is a service for businesses. You must be at least 18 and use it for a business that sells goods. If you accept these terms on behalf of a company, you confirm that you are authorised to bind it, and “you” means that company.
You are responsible for your account: keep your login details safe, give us accurate contact and billing details, and tell us promptly at [email protected] if you think someone else has used your account.
3. Plans and prices
Every plan includes the full feature set and unlimited products, listings, marketplace sites and WooCommerce storefront orders. Plans differ in how marketplace orders are charged:
| Plan | Price | Marketplace orders included | Beyond the allowance |
|---|---|---|---|
| Free | £0 | 50 a month, 1 seller account | Further orders wait in a queue until the next month or until you upgrade. Nothing is deleted. |
| Starter | £29 a month or £290 a year | 200 a month | £0.10 per extra order, capped at £40 a month |
| Growth | £79 a month or £790 a year | 1,000 a month | £0.05 per extra order, capped at £110 a month |
| Pro | £199 a month or £1,990 a year | 4,000 a month | £0.03 per extra order, capped at £190 a month |
| Scale | From £399 a month, billed yearly | As agreed in writing | As agreed in writing |
| Max | No monthly fee | Unlimited | 1% of sales |
What counts as a marketplace order. An order placed on eBay or Amazon that Skurail syncs to your store. We do not count or charge for orders placed in your own WooCommerce store, orders fulfilled by Amazon (FBA), or orders that are cancelled or that Skurail suppresses as duplicates.
On the Max plan you pay 1% of your sales through Skurail: the total buyers paid for your eBay and Amazon orders, as the marketplace reports it, including shipping and excluding any tax the marketplace collects itself. There is no monthly fee and no cap.
Prices are in pounds sterling and exclude VAT, which we add where it applies. We may change our prices; we will give you at least 30 days’ notice by email, and a change takes effect from your next billing period after that notice. If you do not accept the change you can cancel before it applies.
Where we offer a free trial of a paid plan, we will tell you its length and what happens at the end of it before you start. Unless you cancel during the trial, the plan continues as a paid plan.
4. Payment
Payments are processed by Stripe. We never see or store your full card number; Stripe’s own terms apply to the payment itself.
- Monthly and yearly plan fees are charged in advance at the start of each billing period.
- Usage charges — extra orders on Starter, Growth and Pro, and the 1% on Max — are charged in arrears, for the period just ended.
- If a payment fails, Stripe will try again and we will email you. If it still has not been paid 14 days after the first attempt, we may pause syncing until it is. Pausing never deletes your data.
If you think we have charged you wrongly, tell us at [email protected] within 60 days of the charge. Our Refund & Cancellation Policy explains refunds.
5. Fair use
“Unlimited” means unlimited for the normal running of your own business’s stores. You agree not to:
- resell, sublicense or provide Skurail Cloud to third parties as a service of your own, unless we agree in writing;
- send traffic designed to overload the service, get around usage limits or metering, or probe, scan or test its security without our written permission;
- copy, decompile or reverse engineer Skurail Cloud (the plugin, being free software, is different);
- use it to list or sell anything unlawful, or anything the marketplace you list it on prohibits;
- use buyer data from marketplace orders for anything other than fulfilling and administering those orders.
If your use places an unusual load on the service, we will contact you first and try to agree a solution, such as a Scale plan, before we limit anything.
6. Marketplaces and your responsibilities as a seller
eBay and Amazon are independent third parties. Skurail is not affiliated with, endorsed by or acting for either of them. Your use of each marketplace is governed by your own agreement with it, and their fees are separate from ours.
You are responsible for:
- complying with each marketplace’s policies, including its listing, product, pricing and data-protection rules;
- the accuracy and legality of your listings, products, prices and descriptions — Skurail sends what your store and your settings tell it to send;
- fulfilling orders, handling returns, and meeting your obligations to your buyers under consumer, tax and product-safety law;
- checking your settings, such as price rules and stock buffers, before you turn syncing on.
Marketplaces change their systems and rules, and can suspend listings or accounts. We will keep Skurail working with their current interfaces with reasonable care, but we cannot guarantee that a marketplace will accept a listing, keep an account open, or stay available.
7. Your data
Your products, orders and other store data remain yours. You give us permission to process them only as needed to provide Skurail Cloud to you, as described in our Privacy Policy. For your buyers’ personal data we act as your processor, on your instructions; the Privacy Policy sets out the terms on which we do so, and those terms form part of this agreement.
When you connect eBay or Amazon you authorise Skurail to act on your seller account through the marketplace’s own sign-in. Skurail never sees your marketplace passwords, and you can withdraw that authorisation at any time from the marketplace or by disconnecting in Skurail.
8. Availability and changes to the service
We work to keep Skurail Cloud available and to fix problems promptly, but we do not promise that it will be uninterrupted or error-free, and we do not offer a service-level agreement unless one is agreed in writing (for example on a Scale plan). We may need planned maintenance; where we can, we will do it at quiet times and tell you in advance.
We improve Skurail over time and may change or remove features. If we remove a feature that is a significant part of what you pay for, we will tell you at least 30 days ahead and you may cancel and receive a pro-rata refund of any fees paid in advance for the period after the change.
9. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law of England and Wales.
Subject to that:
- we are not liable for loss of profit, revenue, sales or business opportunity, loss of goodwill, or any indirect or consequential loss, nor for losses caused by a marketplace’s acts or decisions (including suspending your listings or account), by your settings or data, or by events outside our reasonable control;
- our total liability to you arising from or in connection with Skurail Cloud, in any twelve-month period, is limited to the greater of the fees you paid us in the twelve months before the event giving rise to the claim and £100.
Because Skurail Cloud is provided to businesses, the service is provided with the reasonable care and skill required by law, and any other warranties are excluded to the extent the law allows.
10. Cancellation and termination
You can cancel your plan at any time from your account or by emailing [email protected]. Cancellation takes effect at the end of the billing period you are in; until then the service keeps working. See the Refund & Cancellation Policy for refunds. You can also disconnect or uninstall the plugin at any time, which stops all syncing with your store.
We may suspend or end your account if you seriously or repeatedly break these terms, if a payment remains unpaid as described in section 4, or if we are required to by law or by a marketplace. Except in urgent cases (such as a security risk or unlawful use), we will warn you first and give you a reasonable chance to put things right. We may also stop providing Skurail Cloud altogether by giving you at least 90 days’ notice, and will refund fees paid in advance for any period after it stops.
After your account ends, syncing stops and we delete your store data from Skurail Cloud within 30 days, except billing records we must keep by law. Your products and orders in WooCommerce are untouched — they live in your store, not with us.
11. Changes to these terms
We may update these terms. For a change that materially affects you, we will email you at least 30 days before it takes effect; if you do not agree, you can cancel before then. The date at the top shows when they were last changed.
12. General
These terms, together with the documents they refer to, are the whole agreement between us about Skurail Cloud. If any part is found unenforceable, the rest still applies. Neither of us may transfer the agreement without the other’s consent, except that we may transfer it to a business that takes over Skurail, in which case we will tell you. No one else has rights under these terms.
Governing law. These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
